Note: INVOS Cerebral/Somatic Oximeter System - Model 5100C components are for two-channel monitoring. For four-channel monitoring, Preamplifier with Cable - Model 5100C-PB and two Reusable Sensor Cables should also be ordered.

After confirmation and purchase order approval, products will be shipped by standard carrier immediately based on inventory availability.

Customers located outside of the U.S. may have their Order Form forwarded to the distributor for their country. A confirmation of forwarding will be provided if necessary.

TERMS: Credit card payment or net 30 days from date of invoice with approved purchase order. Payable in US Funds. A service charge of 1.5% per month (or the maximum legal rate, whichever is less) will be added to past due accounts. Prices exclude sales tax or duty where applicable. All sales are final. No returns without prior written authorization. Prices are F.O.B. factory Troy, MI, however Somanetics retains a security interest in the products, along with the proceeds from the sale thereof, until Buyer has made full payment for such products. The customer is responsible for proper operation of the product(s). In no event shall Somanetics be liable for any special incidental or consequential damages, which result from the use or application, by buyer, or any other party, of the products, and in no event shall Somanetics' liability exceed the amounts paid by buyer for the products hereunder. No other warranty is expressed or implied including the Warranty of Merchantability. Warranty details, including the Disclaimer of Consequential Damages, are set forth in the INVOS System Operations Manual and are available upon request. Purchaser agrees to pay attorney's fees and other costs incurred for collection. All prices and specifications are subject to change without notice. By ordering and accepting delivery of the software, hardware or documentation referenced in this purchase agreement, the Customer agrees to be bound by the terms of Somanetics' Warranty Agreement for these products. No terms of the Warranty Agreement may be modified or deleted without the signed agreement of an Officer of Somanetics. These terms constitute the entire agreement between Somanetics and Buyer with respect to goods purchased from Somanetics. Conditions or representations, oral or written, express or implied, with reference to the subject matter herein that are inconsistent with these terms shall be of no effect unless specifically agreed to in writing by Somanetics. All matters affecting the interpretation, validity and performance of this contract shall be decided under the applicable laws and decisions of the state of Michigan.
